Terms of Service

1. Agreement

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer") and Techventura GmbH ("Plandesk", "we", "us"), governing your access to and use of the Plandesk platform and related services (the "Service").

By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity.


2. The Service

Plandesk provides a cloud-based operations platform for restaurants, bars, retail shops and e-commerce operators, including POS, inventory, invoicing, staff scheduling, and compliance tools.

What we will do:

  • Provide the Service as described at plandesk.io and in applicable Order Forms
  • Maintain reasonable uptime (target 99.9% monthly)
  • Notify you of planned maintenance at least 48 hours in advance
  • Keep your data secure as described in our Privacy Policy
  • Apply regulatory updates (Verifactu, TSE, ViDA, OSS) as free updates when they become mandatory

What we will not do:

  • Guarantee that the Service will be error-free or uninterrupted
  • Provide tax, legal or accounting advice — compliance tools assist but do not replace professional advice

3. Your account

  • You must provide accurate information when creating your account
  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately at hello+security@plandesk.io if you suspect unauthorised access
  • One account may contain multiple workspaces; each workspace is subject to these Terms

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Upload, transmit or store content that infringes intellectual property rights
  • Attempt to reverse engineer, decompile or extract source code from the Service
  • Use the Service to process data on behalf of third parties without informing them
  • Resell or sublicence access to the Service without our prior written consent
  • Use automated scripts to scrape or bulk-extract data from the Service
  • Interfere with the integrity or performance of the Service or its underlying infrastructure

5. Subscription and payment

5.1 Plans and billing

  • The Service is offered on subscription plans as published at plandesk.io/pricing
  • Subscriptions are billed monthly or annually in advance
  • All prices are in EUR and exclude VAT unless stated otherwise
  • VAT will be added at the rate applicable to your billing country

5.2 Free trial

  • New accounts receive a 14-day free trial with full product access
  • No credit card is required to start a trial
  • At the end of the trial, the account is downgraded unless you subscribe

5.3 Payment failure

  • If payment fails, we will retry up to three times over seven days
  • After three failed attempts, access to the Service may be suspended
  • Suspended accounts retain their data for 90 days, after which it may be deleted

5.4 Refunds

  • Monthly subscriptions: no refunds for the current billing period
  • Annual subscriptions: pro-rated refund for unused full months if you cancel within 30 days of renewal
  • We will not charge you for usage during any period of unplanned downtime exceeding 2 hours in a calendar month

6. Cancellation

You may cancel your subscription at any time from the Billing section of your account settings. Cancellation takes effect at the end of the current billing period. Your data remains accessible until that date and is exportable as CSV and PDF at any time.

After cancellation:

  • Workspace data is retained for 90 days in read-only mode
  • After 90 days, data is permanently deleted
  • You may reactivate your account at any time within the 90-day period

7. Your data

  • You retain ownership of all data you submit to the Service ("Customer Data")
  • You grant us a limited licence to process Customer Data solely to provide the Service
  • We will not access Customer Data except to provide the Service, comply with law, or investigate a security incident
  • On termination, you may export your data in CSV and PDF format
  • We will not use Customer Data to train AI models without your explicit consent

8. Intellectual property

  • Plandesk retains all rights to the Service, including its software, design, trademarks and documentation
  • We grant you a limited, non-exclusive, non-transferable licence to use the Service during the subscription term
  • Feedback or suggestions you provide about the Service may be used by us without restriction or compensation

9. Confidentiality

Each party agrees to keep confidential any non-public information of the other party received in connection with the Service, using the same degree of care it uses to protect its own confidential information (at least reasonable care). This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.


10. Warranties and disclaimers

We warrant that:

  • We have the right to provide the Service
  • The Service will perform materially as described in the documentation

We disclaim:

  • Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Accuracy or completeness of compliance outputs — these are tools, not professional advice

11. Limitation of liability

To the maximum extent permitted by applicable law:

  • Neither party will be liable for indirect, incidental, special, consequential or punitive damages
  • Plandesk's total cumulative liability for any claim arising out of or related to these Terms will not exceed the total fees paid by you in the 12 months preceding the claim
  • These limitations apply regardless of the legal theory (contract, tort, statute) and even if the party has been advised of the possibility of such damages

12. Indemnification

You will indemnify and hold harmless Plandesk and its officers, directors, employees and agents from any claim, damage, liability or expense (including reasonable legal fees) arising out of:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or third-party right
  • Customer Data you submit that infringes any intellectual property or privacy right

13. Changes to the Service and Terms

Changes to the Service: We may update or change features of the Service at any time. We will give 30 days' notice before removing a material feature.

Changes to these Terms: We may update these Terms. We will notify you by email at least 30 days before material changes take effect. Your continued use of the Service after that date constitutes acceptance.


14. Suspension and termination

We may suspend or terminate your account if:

  • You materially breach these Terms and fail to cure within 14 days of written notice
  • You fail to pay amounts due
  • We are required to do so by law
  • Continued operation of your account poses a security or legal risk

You may terminate at any time as described in Section 6.

On termination for any reason, all licences granted under these Terms cease immediately.


15. Force majeure

Neither party is liable for delays or failures in performance caused by circumstances beyond its reasonable control, including natural disasters, government actions, internet outages, or failures of third-party infrastructure — provided the affected party notifies the other promptly and uses reasonable efforts to resume performance.


16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute arising out of or relating to these Terms that cannot be resolved amicably within 30 days will be submitted to the exclusive jurisdiction of the courts of Hamburg, Germany.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr. We are not obligated to participate in such proceedings and do not voluntarily do so, as these Terms govern B2B relationships.


17. General

  • Entire agreement: These Terms, together with the Privacy Policy and any Order Form, constitute the entire agreement between you and Plandesk regarding the Service
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force
  • No waiver: Failure to enforce any provision does not constitute a waiver of that provision
  • Assignment: You may not assign these Terms without our prior written consent. We may assign them to a successor entity in a merger or acquisition
  • Notices: Legal notices to Plandesk must be sent to hello@plandesk.io
